The firm has particular expertise in commercial real estate transactions relating to all types of commercial properties. The credentials of our real estate practitioners bear this out. We have experience in reviewing, negotiating, and documenting virtually every type of real estate-related document, including options, purchase and sale agreements, title insurance policies and endorsements, mortgage loan documents, construction documents (including the AIA and AGC documents), lease agreements, brokerage agreements, common interest community documents, restrictive covenants, easements and licenses, and legal opinions relating to the foregoing. We have represented national and international clients, as well as state and local clients. We have experience on both sides of the described transactions. We have also acted as counsel to a number of entities in the affordable housing (LIHTC) area.
We are approved counsel for the following insurers:
The firm has experience in negotiating and drafting the organizational and governance documents for corporations (both for profit and not-for-profit), limited liability companies, and partnerships, including limited partnerships. We also counsel clients regarding a broad range of contractual arrangements that typically arise in the life of an entity such as restrictive stock agreements, buy-sell agreements, employment agreements, merger and conversion documents, redemption and beneficial interest transfer agreements.
The firm has a broad civil litigation practice relating primarily to business disputes and aviation law. With respect to the former, our litigation practice supports our transactional practice by providing clients with counsel regarding the advisability of litigation, what to expect regarding the litigation process, and representing our clients in state and federal courts and before arbitration panels. We also represent clients in appeals from lower court decisions. The firm has also developed an expertise in aviation-related litigation. We represent manufacturers of engines, airframes, and component parts. We also represent fixed base operators (FBOs) and parties to aviation-related transactions such as purchase and sale and escrow arrangements. Mr. McPhail annually attends the Southern Methodist University Air Law Symposium to maintain his expertise in this area of the law.
The firm prosecutes and protests zoning applications, including planned unit development (PUD) applications. We have also defended alleged zoning violations and appealed adverse rulings of municipal bodies to the Board of Adjustment and the District Court. We have also prosecuted plat and right-of-way vacations in the District Court. We have also negotiated eminent domain awards for clients.
The firm also has extensive experience in advising clients regarding employment matters. We assist clients in drafting employment manuals and policies. We also represent clients before the EEOC and in District Court discrimination and wrongful discharge suits. We also advise clients and draft documentation relating to employment, severance and non-compete agreements.
